Terms of Service

These Terms govern your access to and use of 99 Data Rooms (the "Service"), owned and operated by 99 Developers Ltd, a company registered in England and Wales (company number 17257492) ("we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Account
You must provide accurate information and keep your credentials secure. You are responsible for activity on your account. We may suspend accounts that violate these Terms or applicable law.
2. Acceptable use
You agree not to upload or share content that is unlawful, infringing, malicious, or violates the rights of others. See our Acceptable Use Policy.
3. Your content
You retain ownership of content you upload. You grant us a limited licence to store, process, and transmit your content solely to provide the Service. We do not access your documents except as needed for operations, security, or as compelled by law.
4. Service availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance and may change features. Material changes will be communicated.
5. Fees, billing and refunds
Paid plans are billed in advance through our reseller, Paddle. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. We offer a 30-day money-back guarantee on new paid subscriptions, as set out in our Refund Policy. Failure to pay may result in suspension.
6. Reseller and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
7. Termination
You may close your account at any time from Settings. We may terminate or suspend access for breach of these Terms, non-payment, security or fraud risk, or risk to the Service. On termination, your data is deleted per our Privacy Policy.
8. Intellectual property
We retain all rights, title and interest in the Service, including its software, documentation and branding. No rights are granted other than the limited right to use the Service under your selected plan.
9. Disclaimers and liability
The Service is provided "as is". To the extent permitted by law, we exclude implied warranties. Our aggregate liability for any claim is limited to the fees paid by you in the 12 months preceding the claim.
10. Governing law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
